Amy’s principal areas of practice are federal and state regulation of crude oil and refined petroleum products pipelines, with a focus on complex regulatory litigation. Amy has represented clients in complex rate litigation proceedings before the Federal Energy Regulatory Commission (FERC), the California Public Utilities Commission, and the Regulatory Commission of Alaska on a variety of issues. She has extensive experience in prearing and defending oil pipeline market-based rate applications, and in evaluating and defending complex jurisdictional issues, cost-of-service issues, and complex cost allocation methodologies. Amy also has extensive experience in negotiating and drafting complex, multi-party settlements. Amy also has served as in-house counsel for the pipeline division of a major integrated energy company. She is well versed in pipeline operational issues, and advises clients on day-to-day operational, regulatory compliance and tariff issues. She also assists clients in the negotiation and drafting of a wide variety of pipeline-related agreements, including transportation service agreements, dedications, connection agreements, terminal services agreements, and commodity-related agreements.

Representative Experience

Liquids Pipelines

  • Led the team representing a major petroleum products pipeline against challenges to the pipeline’s jurisdictional status, as well as the jurisdictional status of an affiliate-owned terminal, in FERC litigation
  • Led the team representing a major petroleum products pipeline in defending against challenges to the pipeline’s interstate rates in FERC litigation
  • Led teams representing major petroleum products and NGL pipelines in preparing market-based rate applications and defending such applications against protests in FERC litigation
  • Represented a major petroleum products pipeline in negotiating a complex, multi-party settlement that resolved challenges to the pipeline’s interstate rates
  • Represented a major NGL pipeline in negotiating a settlement that resolved protests to the pipeline’s market-based rate application
  • Represented a major crude oil pipeline in negotiating a complex, multi-party settlement that resolved challenges to the pipeline’s FERC and RCA rates
  • Representing a major petroleum products pipeline in defending its complex overhead cost allocation methodology in FERC litigation
  • Representing a major petroleum products pipeline in FERC litigation against complaints challenging the pipeline’s recovery of expansion costs in interstate rates
  • Representing a major petroleum products pipeline in FERC litigation against protests to the pipeline’s interstate tariffs
  • Representing major interstate oil pipeline in defending against challenges to rates “grandfathered” by the Energy Policy Act of 1992
  • Defending crude oil pipeline against protests filed at the FERC and the RCA challenging the reasonableness of the pipeline’s rates
  • Assisting a major pipeline company to evaluate and overhaul its complex cost allocation methodology
  • Counseling a major crude oil pipeline company on developing long-term tariff strategies
  • Assisting a client to perform cost analyses to support cost-of-service tariff filings
  • Counseling a major petroleum products pipeline on complex tariff rate design issues
  • Counseling and drafting purchase and sale agreements and related agreements for a major pipeline company in the divestiture of regulated assets
  • Assisting a major petroleum products pipeline in negotiating the successful settlement of complaints against the pipeline’s rates
  • Developing regulatory compliance policies and training programs for major petroleum products pipeline companies and assisting in employee training
  • Drafting and negotiating pipeline operating agreements for various major pipeline and upstream companies
  • Drafting and negotiating pipeline connection and lease agreements for various major pipeline companies
  • Drafting and negotiating terminal operating and services agreements

Gas Pipelines and Electricity

  • Counseling a major gas pipeline in various regulatory compliance matters
  • Counseling a client on regulatory and contractual issues related to the development of a new gas gathering system in Alaska
  • Assisting in representing an interstate natural gas pipeline in a Natural Gas Act Section 4 rate proceeding at FERC
  • Drafting and negotiating power purchase agreements on behalf of an electric membership cooperative

Education and Professional Background
  • Prior to forming Caldwell Boudreaux Lefler PLLC, Amy was a Counsel at Vinson & Elkins LLP (V&E) and a member of V&E’s liquids pipeline regulatory team for six years. Amy practiced in the litigation group of another large law firm before joining V&E, and left V&E to work as in-house counsel for the pipeline division of a major integrated oil company for several years before returning to V&E in 2012.
